High level of freedom to act regarding leading, structuring, and execution of M&A projects (divestments, acquisitions and joint ventures), across the E.ON Group comprising multiple business units and geographies
Independently leading legally binding contract negotiations with senior representatives of transaction counter-parties and other sensitive and important stakeholders e.g. government and regulatory authorities
Delivering impactful results on earnings and balance sheet KPIs of business units and the Group via personal decision making responsibility for significant financial and legal commercial transaction terms and commitments to be recommended to and approved by E.ON SE board and/or Supervisory Board
Nomination and leadership of internal and external project teams: Co-ordination of internal set-up of the project team (across units and departments e.g. controlling, legal, tax, accounting, IT, HR, etc) and external advisor support (e.g. financial, technical, legal, etc)
Responsibility of functional leading of Project managers and knowledge transfer within the M&A department
Transaction budget responsibility: Selection & management of investment banks and other M&A consultants including responsibility for engagement letter
Supervision and presentation of internal and external approvals of M&A transactions to relevant internal committees
Internal & external communication of M&A projects with close collaboration of corporate communications and investor relations
Management of one or more of the relevant non-core participations, including ensure quality of commercial, operational and financial performance assessment based on analysis, acting as primary interface between co-shareholders, participation companies and E.ON departments, decision support for E.ON representatives in respective decisions bodies, determination of E.ON view on financial and operational performance of Participations and preparation, commissioning and interpretation of strategic and commercial analysis
A convincing background
Excellent degree in Economics or Business Administration
Significant professional and international experience in M&A with a proven track record of executing a series of large international and cross-border M&A transactions or comparable project experience
Experience of handling external stakeholders
Excellent negotiation skills
Strong team player with distinct leadership capabilities
Ability to work independently and under high result and timing pressure
Acting in a self-confident manner, with commitment and assertiveness
